Introduction, Parties and Contact
These Terms of Service apply to your use of the Website and, where you engage us, to the supply of our construction and related professional services.

Business Client means a client acting for purposes related to its trade, business or profession.
Consumer means an individual acting wholly or mainly outside their trade or profession.
Services means construction, refurbishment, design, fit-out, and related professional services provided by us.

SOW means a statement of work, quotation, work order or proposal issued by us describing Services, assumptions and pricing.
Variation means a change to the scope, price, programme or assumptions agreed in writing.
Working Day means a day other than Saturday, Sunday or a public holiday in England.

Intellectual property
The intellectual property in the materials contained in this website are owned by or licensed to Archalign and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.
This constitutes the grant of a licence, not a transfer of title. This licence shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by Archalign at any time.

Quotations, Surveys and Scope
Quotations remain open for acceptance for 30 days unless stated otherwise and are not binding until accepted by you in writing and confirmed by us.
We may require a site survey before starting.
The SOW sets out assumptions and exclusions; any item not expressly included is excluded.

Prices, Deposits and Payment
Prices are as set out in the agreed quotation or statement of work.
We may require a deposit before scheduling any work.
Invoices are payable within a reasonable period of time from issue, unless stated otherwise in writing.
Where the Housing Grants, Construction and Regeneration Act 1996 applies, we will operate payment notices and pay-less notices in line with that Act.
We may charge interest on overdue sums and recover reasonable collection costs.
Any retention arrangements will apply only if set out clearly in the quotation or agreement.

Programme, Access and Client Responsibilities
You will provide timely site access, welfare facilities, permits and accurate information.
You are responsible for ensuring the site is safe and compliant.
Delays outside our control entitle us to an extension of time and recovery of related costs.

Variations (Change Orders)
No change to the Services is binding unless agreed in writing.
Variations will be priced per agreed rates, dayworks or quotation, and may adjust time and cost.
Verbal instructions must be confirmed in writing.

Materials, Risk and Title
Risk in materials passes on delivery to site. Title passes only when we have received full payment. Where requested, vesting certificates will be provided for off-site materials once paid.

Completion, Handover and Documentation
We will notify you when works are practically complete.
Handover documentation, such as manuals, certificates and warranties, will be provided as set out in the SOW.

Defects Liability and Warranties
We will, at our cost, make good defects attributable to our workmanship that are notified within a reasonable defects liability period as set out in the quotation or agreement.
Manufacturer warranties are passed through to you.
Exclusions include fair wear and tear, misuse, lack of maintenance or third-party interference.

Health and Safety / CDM 2015
We comply with the Construction Regulations (2015+) in relation to our role. You must comply with your client duties and provide all necessary pre-construction information, site rules and appointments in writing. Where we are formally appointed, we will fulfil our role as Principal Contractor or Principal Designer. You must also ensure that any subcontractors or third parties under your control comply with these obligations.

Project Photos, Case Studies and Marketing
Unless you object in writing before completion, you grant us permission to take and use project photographs for our portfolio and marketing, provided addresses and personal identifiers are not disclosed without consent.
We may also use anonymised or aggregated project information, client interactions, and survey data for research, analysis, and service improvement. With your consent, we may publish reviews that include your initials and location.

Cancellations and Refunds
Cancellations and refunds are governed by our Refund Policy.
If you are a Consumer, your statutory rights under the Consumer Rights Act 2015 apply in addition to our Refund Policy.

Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
Subject to the above, we are not liable for loss of profit, revenue, business, goodwill, or indirect or consequential loss.
For Business Clients, our total liability arising in connection with the Services is limited to the total fees paid under the relevant quotation or agreement.
If you are a Consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.

Severance
If any provision of these Terms is held invalid or unenforceable, the remainder shall continue in full force.

Assignment
Neither party may assign rights or obligations without the other’s consent, except that we may assign to an affiliate or business successor.

Third-Party Rights
No person other than the parties has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.

Entire Agreement
These Terms, together with any SOW and policies incorporated by reference, constitute the entire agreement and replace all prior discussions.

No Waiver
A failure or delay to exercise a right under these Terms does not constitute a waiver of that right.

Notices
Formal notices must be sent by email to admin@archalign.co.uk and by post to our registered office, or such other address we notify in writing.
Notices are deemed received 54 Working Days after posting within the UK, or when email delivery is reasonably evidenced.
Notices under the Housing Grants, Construction and Regeneration Act 1996 must comply with the requirements of that Act.
Notices may also be validly given electronically, including by email or secure e-signature platforms, consistent with the Electronic Communications Act 2000 and UK eIDAS.

Force Majeure
We are not liable for any delay or failure caused by events beyond our reasonable control, including adverse weather, strikes, supply chain disruption, utility failure, shortages of materials, epidemic or war, government actions or regulatory changes.
Time will be extended, and reasonable additional costs will be recoverable.

Termination and Suspension
We may suspend the Services for non-payment or material breach.
Either party may terminate for material breach not remedied within 14 days of notice or for insolvency.
On termination, you will pay for Services performed and non-recoverable costs committed up to the termination date.

Dispute Resolution
Where the Construction Act applies, either party may refer a dispute to adjudication at any time.
The parties will then attempt mediation.
Court proceedings may follow if unresolved, without preventing urgent interim relief.

Governing Law and Jurisdiction
These Terms and any disputes are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
Although these Terms are governed by the laws of England and Wales, we may deliver Services internationally, subject to compliance with any local laws that apply.
